Hand signing a contract

1. Agreement

By using the Service you agree to these Terms. If you use the Service on behalf of a law firm or other organization ("Customer"), you represent that you have authority to bind it. If a separate signed agreement exists between Customer and EvidenceDesk, that agreement controls where it conflicts with these Terms.

2. Accounts

Customer is responsible for its users, for keeping credentials confidential and for all activity under its accounts. Notify us promptly at hello@evidencedesk.io of any unauthorized use.

3. Use of the Service

We grant Customer a non-exclusive, non-transferable right to use the Service during the subscription term for its internal business purposes. Customer must comply with our Acceptable Use Policy and applicable law, including rules of professional conduct.

4. Customer Data

Customer retains all rights in the data it submits ("Customer Data"). Customer grants us a limited license to host, process and display Customer Data only to provide and support the Service. Customer is responsible for the legality of Customer Data and for obtaining any required consents. We handle Customer Data as described in our Privacy Policy and Data Processing summary. Customer may export its data during the term; after termination we will make data available for export for a reasonable period and then delete it, unless law requires otherwise.

5. Fees and payment

Fees are set out in the applicable order or quote. Unless stated otherwise, fees are billed in advance, are non-refundable except as required by law, and exclude taxes, which Customer is responsible for. We may suspend the Service for overdue amounts after notice.

6. Free tools and trials

Free website tools and any trial or early-access use are provided "as is" without any commitment of availability, and may be changed or withdrawn at any time.

7. Intellectual property

The Service, website and all related software, designs and content are owned by EvidenceDesk or its licensors. Feedback you give us may be used without obligation.

8. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms.

EvidenceDesk is a software provider, not a law firm. The Service and our content do not provide legal, tax or accounting advice. Customer remains solely responsible for its professional obligations, including deadlines, trust accounting and client confidentiality. See our Disclaimer.

10. Warranties and disclaimers

We will provide the Service in a professional manner consistent with general industry standards. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data, and each party's total liability is limited to the fees paid by Customer in the twelve months before the claim. These limits do not apply to Customer's payment obligations or either party's breach of confidentiality or indemnity obligations, to the extent permitted by law.

12. Indemnity

Customer will defend and indemnify EvidenceDesk against third-party claims arising from Customer Data or Customer's violation of these Terms or law.

13. Term and termination

The subscription continues for the term stated in the order. Either party may terminate for material breach not cured within thirty days of notice. Sections that by their nature should survive termination will survive.

14. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The state and federal courts located in Florida have exclusive jurisdiction, and each party consents to them.

15. Changes

We may update these Terms by posting a new version with a new effective date. Material changes will be notified to customers in advance where practicable.
